A successful 2004 and looking to 2005!

AdviCorp would like to thank all its clients that have contributed to the successes of last year.

AdviCorp has made leaps forward in both its corporate finance and in its securities broking and trading activities.  This is due in large part to the trust that our clients have put in us.  We will continue to fully dedicate ourselves to serve our clients under the highest professional standards in all areas.  As an independent investment banking firm AdviCorp takes nothing for granted and has the flexibility to provide the best solutions to its clients. In so doing we are confident that we can make a difference and assist our clients in meeting their goals. 

Set out below are the highlights of 2004.

Corporate Finance

  • Advised the multinational Kerry Group plc on their acquisition of the flavour company Fructamine SpA from Bracco SpA. The value of this substantial transaction was not disclosed. (March 2004)
  • Advised Roncadin SpA on the potential reverse merger with Arena Holdings SpA and provided a fairness opinion to the Board of Roncadin SpA on the potential exchange ratio between the shares of the two companies. (April 2004)
  • Advised Immobiliare Roma Fiumicino SpA (a leader in Italy) on a refinancing amounting to ¤ 25 million. (June 2004)
  • Provided to the Board of Roncadin SpA an opinion on the fairness of the price being offered to the Roncadin SpA shareholders by Arena Holdings SpA in the context of the launch of its mandatory tender offer - OPA – on the Roncadin SpA shares. (August 2004)
  • Provided to the Board of Roncadin SpA a fairness opinion regarding the purchase of certain operating assets from Arena Holdings SpA. (October 2004)
  • Advised JH Partners, LLP on the lease of the going concern of Frette SpA from Fin.Part SpA.  The transaction will lead to the subsequent outright acquisition of Frette SpA. (December 2004)
  • Provided to Dai Telecom SpA (ex Telit) a fairness opinion on the value of its tangible and intangible assets. (December 2004)

Securities Broking and Trading

  • Transacted significant amounts of fixed income securities, and particularly in the distressed debt segment.
  • Promoted the concept of Corporate Governance in Italy by seeking to safeguard the rights and interest of bondholders in the context of debt restructurings.
  • Assisted institutional clients in maximising their returns on FX positions through the extensive use of the PHLX listed FX options (# 1 in Italy).

Asset Management

  • Set up the AdviFund, that will focus on convertible/credit arbitrage and high yield/restructuring corporate bonds.  The AdviFund will be listed in Ireland and launched in 2005.
  • Set up the AdviStrategus Fund that will focus on trading the HFR Index (a hedge fund database), replicating 8 different alternative investment management strategies namely: convertible arbitrage, distressed securities, equity hedge, equity market neutral, event-driven, merger arbitrage and relative value arbitrage.
